1. Introduction
These General Terms and Conditions (“Terms”) govern the use of the provided Android application and web portal (“Platform”) for placing orders by the merchant (“Merchant”). By accessing or using the Platform, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must refrain from using the Platform.
2. Merchant Eligibility
- To use the Platform, the Merchant must be a legally registered entity or individual with the appropriate licenses, permits, and authorization to engage in commercial activities.
- The Merchant confirms that they are at least 18 years old or legally capable of entering into binding contracts.
3. Platform Access and Usage
- The Platform enables the Merchant to place orders, view available services, and connect with riders for delivery purposes.
- The Merchant agrees to use the Platform for legitimate business purposes only and in accordance with applicable laws, regulations, and ethical standards.
- The Merchant agrees not to misuse the Platform by attempting to gain unauthorized access, interfering with the operation, or transmitting any harmful software or viruses.
4. Order Placement and Management
- The Merchant can place orders through the Android application or web portal by entering the relevant order details, including name, number, delivery address of recipient/s, product information, quantities, and any applicable instructions.
- The Platform will facilitate the connection between the Merchant and available riders, but the Merchant is responsible for ensuring the accuracy of the order details.
- The Merchant agrees to review all order details before finalizing the order and acknowledges that once an order is submitted, it cannot be canceled unless mutually agreed upon by the Merchant and the rider.
5. COD (Cash on Delivery) Orders
- If the order is a Cash on Delivery (COD) order, the Merchant is responsible for ensuring that the COD payment terms are clearly communicated to the rider.
- The Merchant acknowledges that it is their responsibility to resolve any COD-related issues directly with the rider and that the Platform only facilitates the connection and does not manage payment processing.
6. Merchant Responsibilities: Handover of Goods
- The Merchant must hand over the goods to the rider in accordance with the nature of their business, as specified in their valid trade license.
- The Merchant is required to ensure that the goods handed over are consistent with the goods described in the order and meet all legal and regulatory requirements pertaining to their business and the goods they sell.
- The Merchant agrees not to place or fulfill orders that are outside the scope of their authorized trade or business activities as per the trade license. Any violation of this may result in termination of access to the Platform.
7. Payment Terms
- Payment for orders placed through the Platform is between the Merchant and the rider. The Merchant agrees to settle payment for the goods directly with the rider according to the agreed terms (e.g., COD or other payment methods).
- The Platform does not manage or process any payments between the Merchant and the rider.
8. Rider Responsibilities
- The Merchant understands that riders are independent contractors and are solely responsible for delivery services, including timely and accurate delivery to the customer.
- The Platform provides a tool for riders to connect with merchants, but we are not liable for any delivery delays, damages, or errors.
9. Platform Service Availability
- While the Platform aims to be available 24/7, there may be periods of downtime for maintenance, upgrades, or unforeseen technical issues. The Platform does not guarantee uninterrupted access.
- The Merchant agrees to notify the Platform of any technical issues or errors encountered while using the Platform so that these can be addressed promptly.
10. Confidentiality and Data Privacy
- The Merchant agrees to provide accurate and truthful information when registering on the Platform and acknowledges that any information shared with the Platform may be used in accordance with the Platform’s Privacy Policy.
- The Merchant shall not disclose any sensitive information about the Platform or its operations to third parties without the prior written consent of the Platform.
11. Prohibited Activities
The Merchant agrees not to engage in the following activities:
- Placing fraudulent or inaccurate orders.
- Using the Platform for any unlawful purpose, including activities that violate intellectual property rights, data privacy laws, or other applicable regulations.
- Interfering with or disrupting the Platform’s services, networks, or infrastructure.
12. Limitation of Liability
- The Platform is not responsible for any damages, losses, or liabilities arising from the use of the service, including but not limited to order inaccuracies, delivery delays, or any disputes between the Merchant and the rider.
- The Platform does not guarantee the availability of riders at all times and is not liable for any inability of the Merchant to place orders or connect with riders due to such unavailability.
13. Indemnification
- The Merchant agrees to indemnify, defend, and hold harmless the Platform, its officers, employees, and agents from and against any and all claims, damages, liabilities, or expenses (including legal fees) arising out of the Merchant’s use of the Platform, violation of these Terms, or infringement of third-party rights.
14. Termination
- The Platform reserves the right to suspend or terminate the Merchant’s access to the Platform at any time if the Merchant violates these Terms, engages in fraudulent activities, or otherwise disrupts the service.
- The Merchant may terminate their use of the Platform at any time by contacting the Platform’s support team.
15. Modifications to the Terms
- The Platform reserves the right to update, modify, or change these Terms at any time. Any changes will be posted on the Platform, and it is the Merchant’s responsibility to review the Terms regularly.
- By continuing to use the Platform after changes are made, the Merchant accepts the updated Terms.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform operates.
17. Dispute Resolution
- Any disputes arising from the use of the Platform shall be resolved through amicable negotiation.
- If a resolution cannot be reached, the dispute may be resolved through arbitration or litigation in accordance with the laws of the applicable jurisdiction.
